JLD Product Development Co. will grant qualified companies the right to use the JLD Product Development Co. logo on their Web site, provided that the majority of their Web site/business is run by JLD Product Development Co. products and/or services. Unless sooner terminated by JLD Product Development Co. as provided in paragraph 5 below, this license will be in effect for a period of one year from the date of execution and will be automatically renewed for successive one-year terms as long as your company's Web site continues to run on JLD Product Development Co. products and/or services. Your company agrees that JLD Product Development Co. owns all rights in the JLD Product Development Co. logo and that it will not contest the validity of JLD Product Development Co. rights while or after this license is in effect. JLD Product Development Co., in its sole discretion, may terminate this license immediately for any reason. Upon termination, your company shall immediately cease all further use of the JLD Product Development Co. logo, or any other similar mark, name or logo, including without limitation, any name or mark comprising the term "JLD Product Development Co.." No other usage rights or licenses are granted herein. JLD Product Development Co. must approve all use of the JLD Product Development Co. logo prior to use. JLD Product Development Co. also requires adherence to usage guidelines JLD Product Development Co. may provide from time to time. Proper attribution to JLD Product Development Co. is to be used in all reproductions, in the following form: "JLD Product Development Co." is a trademark of JLD Product Development Co. Your company will indemnify and hold JLD Product Development Co. harmless against any claims, actions or demands resulting from or related to its use of the JLD Product Development Co. logo. This agreement shall be governed by the laws of the state of Texas and all actions relating to this agreement shall be brought to Texas.
